Terms of Service
These Terms of Service ("Terms") constitute a legally binding agreement between you and Docstruct Technologies Private Limited ("Docstruct," "we," "us," or "our") governing your access to and use of the Docstruct platform, including its Zero-Touch Document Orchestration services, APIs, connectors, and all related products and features. Please read these Terms carefully before using the Service.
Section 01
Definitions
Capitalised terms used throughout these Terms shall have the meanings set out below unless the context requires otherwise.
"Service" — The Docstruct platform, including the web application, APIs, SDKs, Connectors, and all associated features such as the Document Orchestration Engine, Rule Engine, Workflow Builder, Audit Chain, and Human Review Module.
"Primary Organisation (PO)" — The legal entity or individual that subscribes to the Service under a paid or trial plan and administers the Docstruct workspace.
"Third Party (TP)" — A counterparty organisation invited by a PO to submit documents or participate in workflows within the Service.
"Third Party User (TPU)" — An individual authorised by a TP to access the Service for document submission, review, or collaboration purposes.
"User" — Any individual who accesses the Service, including PO administrators, internal team members, Checkers, Approvers, Makers, and TPUs.
"Customer Data" — All documents, data, metadata, and content uploaded, processed, or generated by a PO or its Users through the Service.
"Doc Group" — A logical collection of related Document Templates configured by a PO within the Service.
"Doc Template" — A structured schema defining the fields, rules, and extraction logic applied to a class of documents.
"Connector" — A pre-built or custom integration between the Service and a third-party system, data source, or external API.
"Immutable Audit Chain" — The tamper-evident, append-only log of all actions performed on a document within the Service.
"Subscription Plan" — The commercial tier selected by the PO, which determines feature access, usage limits, and pricing.
"Confidential Information" — Non-public information disclosed by either party in connection with the Service that is designated as confidential or that reasonably should be treated as confidential given its nature.
"Intellectual Property Rights" — All patents, copyrights, trademarks, trade secrets, database rights, and other proprietary rights.
Section 02
Acceptance of Terms
By registering for an account, clicking "I Agree," or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you are accepting these Terms on behalf of a legal entity (such as a company), you represent and warrant that you have the authority to bind that entity, and references to "you" shall refer to that entity.
Section 03
Eligibility
To use the Service, you must:
- —Be at least 18 years of age or the age of legal majority in your jurisdiction;
- —Have the legal capacity to enter into a binding contract;
- —Not be prohibited from using the Service under applicable law, including sanctions or export-control regulations; and
- —If acting on behalf of a legal entity, be duly authorised to do so.
Docstruct reserves the right to verify eligibility and to decline or revoke access at its sole discretion.
Section 04
Access & Account
4.1 Account Registration
You must register for an account to access the Service. You agree to provide accurate, current, and complete information during registration and to keep such information updated. Each PO is responsible for maintaining a single master account and may provision additional User accounts within the limits of its Subscription Plan.
4.2 Credentials & Security
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must immediately notify Docstruct at upal@docstruct.ai of any unauthorised access or suspected breach. Docstruct is not liable for any loss or damage arising from your failure to safeguard your credentials.
4.3 Role-Based Access Control
The Service implements Role-Based Access Control (RBAC). PO administrators are solely responsible for assigning and managing roles (including Maker, Checker, Approver, and TPU roles) and ensuring that access permissions align with their internal governance policies.
Section 05
Permitted Use
Subject to your compliance with these Terms and payment of applicable fees, Docstruct grants you a limited, non-exclusive, non-transferable, non-sublicensable licence to access and use the Service during the Subscription Term solely for your internal business operations and document-processing workflows.
Permitted uses include:
- —Uploading, classifying, and processing Customer Data through the Orchestration Engine;
- —Configuring Doc Groups, Doc Templates, Rules, and Connectors within your organisation's workspace;
- —Inviting and managing Third Parties and TPUs in connection with your workflows;
- —Accessing reports, dashboards, and the Audit Chain for governance and compliance purposes; and
- —Using the Docstruct API within the rate and usage limits prescribed by your Subscription Plan.
Section 06
Prohibited Use
You agree not to, directly or indirectly:
- —Use the Service to process documents containing content that is illegal, defamatory, fraudulent, obscene, or that infringes any third party's rights;
- —Reverse-engineer, decompile, disassemble, or attempt to derive the source code, algorithms, or trade secrets of the Service;
- —Circumvent, disable, or otherwise interfere with security or access-control features of the Service;
- —Resell, sublicense, or provide the Service on a service-bureau or time-sharing basis to third parties without Docstruct's prior written consent;
- —Use automated scripts, bots, scrapers, or data-mining tools to extract data from the Service beyond what is expressly permitted by the API;
- —Upload malicious code, viruses, or content designed to disrupt or damage the Service or its infrastructure;
- —Use the Service in a manner that exceeds fair usage thresholds or that adversely impacts performance for other customers;
- —Remove, alter, or obscure any proprietary notices, trademarks, or branding within the Service; or
- —Use Customer Data extracted from the Service to train, fine-tune, or benchmark competing AI or machine-learning models.
Section 07
Data & Document Processing
7.1 Ownership of Customer Data
As between you and Docstruct, you retain all ownership of Customer Data. You grant Docstruct a limited, non-exclusive, worldwide licence to process, store, and transmit Customer Data solely to the extent necessary to provide the Service and fulfil obligations under these Terms.
7.2 AI Extraction & Zero-Training AI
The Service uses artificial intelligence and machine learning to extract, classify, and validate data from documents. Docstruct's Zero-Training AI approach means the platform does not use your Customer Data to train or improve its foundational AI models without your explicit written consent. Extraction outcomes are advisory; you remain responsible for validating results through your configured Maker-Checker Workflow.
7.3 Audit Chain Immutability
All actions taken on documents within the Service are recorded in the Immutable Audit Chain. You acknowledge that records written to the Audit Chain cannot be deleted or altered, even upon account termination, for the duration required by applicable law or as specified in your Data Processing Agreement (DPA).
7.4 Data Retention & Deletion
Customer Data is retained in accordance with your Subscription Plan and any DPA executed between the parties. Upon termination, Docstruct will make Customer Data available for export for a period of 30 days, after which it may be deleted. Audit Chain records may be retained for longer periods as required by law.
7.5 Sensitive Data

Intellectual Property
All Intellectual Property Rights in and to the Service — including its software, design, branding, documentation, AI models, orchestration architecture, and the "Zero-Touch Document Orchestration" framework — are and shall remain the exclusive property of Docstruct Technologies Private Limited or its licensors.
No rights are granted to you other than the limited licence expressly set out in Section 5. Nothing in these Terms constitutes a transfer or assignment of any Intellectual Property Rights.
Section 09
Confidentiality
Each party agrees to: (a) hold the other party's Confidential Information in strict confidence using at least the same degree of care it uses to protect its own confidential information (and no less than reasonable care); (b) not disclose Confidential Information to any third party without prior written consent; and (c) use Confidential Information solely for the purpose of performing obligations or exercising rights under these Terms.
Obligations of confidentiality shall not apply to information that: (i) is or becomes publicly available through no fault of the receiving party; (ii) was already known to the receiving party prior to disclosure; (iii) is independently developed without reference to the disclosing party's Confidential Information; or (iv) is required to be disclosed by law or court order, provided the receiving party gives prior written notice where lawfully permitted.
Section 10
Payment & Billing
10.1 Fees
Subscription fees, overage charges, and any other amounts payable are set out in the applicable Order Form or Pricing Page. All fees are in Indian Rupees (INR) unless otherwise specified and are exclusive of applicable taxes (including GST).
10.2 Billing Cycle & Renewal
Subscriptions are billed in advance on a monthly or annual basis depending on the plan selected. Unless you notify Docstruct of cancellation at least 15 days before the end of your billing cycle, your Subscription will auto-renew at the then-current rate.
10.3 Late Payment
Undisputed amounts not paid within 30 days of the due date will accrue interest at 1.5% per month (or the maximum rate permitted by law, whichever is lower). Docstruct may suspend access to the Service for accounts with outstanding overdue balances after providing 7 days' written notice.
10.4 No Refunds
Except as expressly stated in your Order Form or as required by applicable law, all fees paid are non-refundable. Unused features or capacity within a billing period are forfeited upon downgrade or cancellation.
Section 11
Availability & Service Level Agreement
Docstruct targets the following uptime commitments based on Subscription Plan. Specific SLA credits, measurement methodology, and exclusions are detailed in the Service Level Agreement, available on request.

Scheduled maintenance windows (notified 48 hours in advance) and downtime caused by force majeure events, third-party infrastructure failures, or Customer's own actions are excluded from uptime calculations.
Section 12
Third-Party Integrations & Connectors
The Service may integrate with third-party systems, APIs, and data sources via Connectors (including but not limited to Finacle, FinnOne Neo, GSTN, Account Aggregator, CIBIL, IRDAI Suraksha, and VAHAN). Docstruct does not endorse or control these third-party services and is not responsible for their availability, accuracy, security practices, or terms of use.
Your use of third-party integrations is subject to the applicable third party's terms of service. You are solely responsible for obtaining the necessary authorisations, API credentials, and consents to enable Connectors within your workspace. Docstruct shall not be liable for any loss or damage arising from failures, errors, or changes in third-party services.
Section 13
Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DOCSTRUCT EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING:
- —Any implied warranties of merchantability, fitness for a particular purpose, or non-infringement;
- —Any warranty that the Service will be uninterrupted, error-free, or free of viruses or other harmful components;
- —Any warranty as to the accuracy, completeness, or reliability of AI-extracted data or automated document classifications; and
- —Any warranty relating to the compliance of the Service with sector-specific regulations unless expressly agreed in writing.
Section 14
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- —NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES;
- —DOCSTRUCT'S TOTAL AGGREGATE LIABILITY TO YOU ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID OR PAYABLE BY YOU IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
These limitations apply regardless of the legal theory on which the claim is based. Some jurisdictions do not allow the exclusion of certain warranties or limitation of certain liabilities, in which case the above limitations apply to the fullest extent permitted by law.
Section 15
Indemnification
You agree to indemnify, defend, and hold harmless Docstruct and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to:
- —Your breach of these Terms or any applicable law or regulation;
- —Customer Data submitted, processed, or transmitted through the Service by you or your Users;
- —Your use of the Service in a manner not authorised by these Terms; or
- —Any dispute between you and a Third Party or TPU arising from workflows managed through the Service.
Docstruct reserves the right to assume exclusive control of the defence of any matter subject to indemnification by you, at your expense, and you agree to cooperate with such defence.
Section 16
Suspension & Termination
16.1 Termination by You
You may terminate your account at any time by providing 30 days' written notice to Docstruct. Termination does not entitle you to a refund of prepaid fees.
16.2 Termination by Docstruct
Docstruct may terminate these Terms or your access to the Service upon 30 days' written notice for convenience. Docstruct may terminate immediately, without notice, if you materially breach these Terms, become insolvent, or if continued provision of the Service would violate applicable law.
16.3 Suspension
Docstruct may suspend your access to the Service without liability if: (a) you fail to pay undisputed invoices within the cure period; (b) your use poses a security risk or creates legal exposure for Docstruct or other customers; or (c) you are in material breach of these Terms. Docstruct will endeavour to provide reasonable prior notice except where immediate suspension is necessary to protect the integrity of the platform.
16.4 Effect of Termination
Upon termination, the licence granted hereunder will immediately cease. Customer Data will be made available for export for 30 days post-termination, after which Docstruct may delete it. Sections 7.3, 8, 9, 13, 14, 15, 17, and 18 survive termination.
Section 17
Governing Law
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of India, without regard to its conflict-of-laws principles.
Subject to the dispute resolution provisions below, you and Docstruct irrevocably submit to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India for the resolution of any disputes not resolved through arbitration.
Section 18
Dispute Resolution
The parties shall first attempt to resolve any dispute informally by escalating the matter to senior representatives of each party. If the dispute is not resolved within 30 days of written notice of the dispute, either party may refer the dispute to binding arbitration.
Arbitration shall be conducted by a sole arbitrator in accordance with the rules of the Indian Council of Arbitration (ICA), with the seat of arbitration in Bengaluru, Karnataka. Proceedings shall be conducted in the English language. The arbitrator's award shall be final and binding and may be enforced in any court of competent jurisdiction.
Section 19
Changes to These Terms
Docstruct reserves the right to modify these Terms at any time. We will notify you of material changes by email or through an in-product notification at least 30 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the updated Terms.
If you do not agree to the revised Terms, you must cease using the Service and may terminate your account in accordance with Section 16.1. Docstruct will not retroactively apply material changes to ongoing transactions or disputes.
